The Board of Directors of the Company ("Board") wishes to announce that the Company had on 13 March 2025, entered into a term sheet with (1) HUN TOCK JUAN, RONNIE, (2) HEALIN TAY SIANG YUAN and (3) KELVIN LIM KEN NETH ("the Vendors") to purchase 80% equity interest in each of D-Ron SG and D-Ron MY for a purchase consideration of SGD30,406,510 for 80% equity interest in D-Ron SG and RM4,996,482 for 80% equity interest in D-Ron M (hereinafter referred to as the "Proposed Acquisition').
The Proposed Acquisition is intended to be undertaken as a reverse take-over in accordance with the Equity Guidelines issued by the Securities Commission Malaysia and will form part of the Company's proposed regularisation plan.
Further details will be provided upon execution of the definitive agreement.
