We refer to the Company’s announcements dated 20 & 23 June 2025 in respect of the aforesaid matter.
1. To clarify whether the Proposed Acquisitions would result in a significant change in the business direction or policy of PDB.
Further, to clearly indicate whether the approval to be sought would be from SC or Bursa and to provide the timeline for submission of the Proposed Regularisation Plan.
2. To clarify whether PDB has secured the source of funding for the Purchase Consideration and breakdown of funding between financial institutions and/or shareholders.
3. To elaborate on the reasonableness of PG Target of SGD9.79 million for FYE 2025 and FYE 2026 taking into consideration D-Ron SG’s and D-Ron MY’s PAT of SGD5.82 million and RM0.89 million respectively in FYE 2024.
4. To elaborate on the benefit which is expected to accrue to PDB from the operational perspective.
5. To state if there are any government/ sectoral approvals required for the Proposed Acquisitions and to state the estimated timeframe for submission of the application to such authorities.
